Among the nine security devices regulated by the Civil Code, guarantee is among the most commonly-used ones. In accordance with an official report from the Ministry of Justice, after 5 years of implementation of the Civil Code 2015, there are certain problems arising around the provisions on guarantee, which requires further research and improvement. These problems includes, but not limited to: (1) the meaning of some phrases used in some provisions on guarantee has not been specifically explained, which leads to inconsistent interpretation and implementation; and (2) misconception between guarantee and pledge/charge of a third party to secure for the performance of the obligation. Given the particularly important position of guarantee as a frequently-used security device by parties, and given the issues around the current provisions on guarantee as aforementioned, conducting a detailed, systematic research on the provisions on guarantee under the Civil Code 2015 has both theoretical and practical significance.
